Terms of Service

1. Acceptance of Terms

By accessing or using InvoiceSign ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

InvoiceSign provides a platform for:

  • Creating and managing service contracts
  • Collecting electronic signatures
  • Creating and sending GST-compliant invoices
  • Generating and sharing professional documents
  • Online payment collection through Razorpay integration

3. Account Registration

To use InvoiceSign, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Providing accurate business and contact information

4. Subscription and Payments

InvoiceSign offers both free and paid subscription plans:

  • Free Plan: Limited to 3 active contracts and 5 invoices per month
  • Paid Plans: Starter (₹499/mo), Pro (₹999/mo), and Agency (custom pricing)

Paid subscriptions are billed monthly or annually in advance. You may cancel your subscription at any time, but no refunds will be provided for the current billing period.

All fees are exclusive of applicable taxes unless stated otherwise. GST will be charged as per Indian tax regulations.

5. Acceptable Use

You agree not to use InvoiceSign to:

  • Create contracts for illegal purposes
  • Infringe on intellectual property rights of others
  • Harass, abuse, or harm other users
  • Send spam or unsolicited communications
  • Introduce viruses or malware
  • Attempt to gain unauthorized access to our systems
  • Use the Service for any fraudulent purpose

6. Electronic Signatures and Legal Validity

Electronic signatures collected through InvoiceSign are legally binding under India's Information Technology Act, 2000 (IT Act), specifically Section 5 pertaining to electronic signatures.

You are responsible for ensuring that your contracts comply with applicable laws. InvoiceSign is a tool for facilitating signatures but does not provide legal advice.

7. Intellectual Property

You retain ownership of all content, including contracts and invoices, that you create using InvoiceSign. By using our Service, you grant us a limited license to store and display your content as necessary to provide the Service.

InvoiceSign and its original content, features, and functionality are owned by InvoiceSign and are protected by Indian and international copyright, trademark, and other intellectual property laws.

8. GST Invoices and Tax Compliance

InvoiceSign generates invoices that you can use for GST compliance. However:

  • You are responsible for ensuring your invoices meet GST requirements
  • InvoiceSign does not file GST returns on your behalf
  • You should consult a tax professional for specific tax advice
  • Accurate tax calculation and filing remains your responsibility

9. Payment Processing

Payments processed through InvoiceSign are handled by Razorpay, our third-party payment processor. By using payment features, you agree to Razorpay's terms of service and privacy policy.

InvoiceSign does not store your payment card details. All payment information is handled directly by Razorpay in accordance with PCI-DSS standards.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the use of this Service. This includes client data, contract terms, and business information.

11. Limitation of Liability

To the maximum extent permitted by law, InvoiceSign shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Any damages resulting from your use of or inability to use the Service
  • Any actions taken by third parties, including signers or payers

Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

12. Termination

You may terminate your account at any time through the app settings. We may suspend or terminate your access to the Service if you:

  • Violate these Terms
  • Engage in illegal or fraudulent activity
  • Fail to pay subscription fees
  • Pose a security risk to our users or systems

Upon termination, your data will be retained for 90 days before permanent deletion, unless required otherwise by law.

13. Modifications to Service

We reserve the right to modify or discontinue any aspect of the Service at any time, with or without notice. We may also update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Karnataka, India.

For disputes under ₹20 lakhs, arbitration shall be conducted in Bangalore under the Arbitration and Conciliation Act, 1996.

15. Indemnification

You agree to indemnify, defend, and hold harmless InvoiceSign and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any contracts or invoices you create using the Service
